Terms of Service

Welcome to proxhr. These Terms of Service (“Terms”) govern your access to and use of the proxhr API, website, and associated data services (collectively, the “Service”). By integrating our API or accessing our platform, you (the “User”) agree to be legally bound by these Terms.

1. The Service

proxhr provides a secure, privacy-centric infrastructure facilitating the real-time exchange of employment and income data, end-to-end secure file transfers, and robust secrets management. We act as a secure conduit for data between data sources (“Provider”) and “Authorized Parties” (such as lenders and benefits providers) without storing sensitive records on our own permanent servers.

2. Access and Integration

  • API License: Subject to compliance with these Terms, proxhr grants you a limited, non-exclusive, non-transferable license to access our APIs solely for the purpose permitted by law.
  • Security Credentials: You are responsible for maintaining the confidentiality of your API keys and login credentials. Any activity occurring under your account is your sole responsibility.
  • Prohibited Use: You may not use the Service to build a competing product, attempt to reverse-engineer our proprietary architecture, or bypass any security protocols.

3. Data Governance and Regulatory Compliance

Non-CRA Status: You acknowledge and agree that proxhr is not a Consumer Reporting Agency (“CRA”) as defined by the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.). proxhr does not assemble or evaluate consumer information for the purpose of furnishing consumer reports to third parties.

User Responsibility and Applicability: Because proxhr operates as a neutral transmission service, you (the User) are solely responsible for determining the regulatory context of your data use. To the extent that your use of the Service is subject to the FCRA or similar privacy laws, you assume all obligations of a User of consumer information. This includes, but is not limited to:

  • Determining Permissible Purpose: Ensuring you have a valid Permissible Purpose for every data request where required by law.
  • Consumer Consent: Obtaining clear, written Consumer Consent before initiating a transmission, as applicable to the specific use case.
  • Adverse Action: Providing any required Adverse Action notices directly to the consumer if the transmitted data contributes to a denial of credit, employment, or benefits.

No Data Accuracy Warranty: As a technical conduit, proxhr does not audit, verify, or alter the content of the data being transmitted. Any disputes regarding the accuracy of employment or income data must be resolved between you, the consumer, and the original data source (Provider). proxhr disclaims all liability for inaccuracies in the underlying data provided by third-party sources.

4. Intellectual Property

All rights, title, and interest in the proxhr platform, including the API code, documentation, logos, and the underlying technology used to facilitate secure data transfer, remain the exclusive property of proxhr. No ownership rights are transferred to you through the use of the Service.

5. Disclaimers and Accuracy

  • Source Data: proxhr facilitates access to data provided by third-party payroll and HRIS systems. We do not generate this data and, as such, cannot guarantee its absolute accuracy or completeness.
  • Service Availability: While we strive for 100% uptime, the Service is provided on an “as-is” basis. We are not liable for delays or failures caused by third-party data providers or internet infrastructure.

6. Limitation of Liability

To the maximum extent permitted by law, proxhr shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or data) arising from your use of the Service. Our total liability for any claim shall not exceed the amount paid by you to proxhr in the twelve (12) months preceding the claim.

7. Indemnification

You agree to defend and indemnify proxhr against any legal claims, losses, or damages resulting from:

  1. Your breach of these Terms.
  2. Your failure to obtain proper consent from an individual before requesting their data.
  3. Any misuse of the data retrieved through our Service.

8. Modification and Termination

proxhr reserves the right to modify these Terms at any time. We will notify you of significant changes via the email associated with your account. We may suspend or terminate your access to Service if we detect fraudulent activity or a breach of these Terms.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
